PODCAST GUEST RELEASE

Effective Date: The date the guest electronically accepts this agreement

This Podcast Guest Release (“Release”) applies to the guest’s appearance on any podcast, video interview, livestream, virtual event, panel discussion, or related recording produced or presented by Quantum Shift Media, including Quantum Shift Podcasts and its related programs, episodes, and promotional materials.

By checking the box indicating agreement to this Release, the guest acknowledges that they have read, understood, and voluntarily agreed to the following terms.

1. Consent to Record

The guest authorizes Quantum Shift Media, its podcast hosts, employees, contractors, representatives, licensees, successors, and assigns (“Producer”) to photograph, film, livestream, and record the guest’s name, voice, image, likeness, biography, interview, presentation, statements, and other contributions in audio, video, photographic, written, or other formats.

2. Grant of Rights

The guest grants Producer an irrevocable, worldwide, royalty-free, transferable, sublicensable, and perpetual right to:

Record, edit, adapt, reproduce, publish, distribute, transmit, publicly perform, publicly display, advertise, promote, and otherwise use the recording and the guest’s contributions;

Record, edit, adapt, reproduce, publish, distribute, transmit, publicly perform, publicly display, advertise, promote, and otherwise use the recording and the guest’s contributions;
Use the guest’s name, professional title, company name, biography, photograph, voice, image, likeness, statements, and approved promotional materials in connection with the recording;
Create excerpts, clips, transcripts, articles, social media posts, audiograms, videos, advertisements, educational materials, compilations, derivative works, and other promotional or commercial content from the recording; and
Make the content available through podcasts, websites, email, social media, streaming platforms, video platforms, print publications, digital publications, advertising, and any other media now known or later developed.

Producer may use the content in connection with the podcast, the episode, Producer’s business, and the promotion of related programs, products, services, events, and media.

3. Ownership

Producer will own the podcast recording and all edited versions, excerpts, promotional materials, and derivative content created from it.

The guest retains ownership of any independently created materials the guest owned before the recording, including books, presentations, trademarks, copyrighted works, and proprietary methods. The guest grants Producer permission to include such materials in the recording and related promotional content to the extent voluntarily shared by the guest.

4. Editing and Context

The guest understands that Producer may edit, shorten, rearrange, caption, transcribe, excerpt, or otherwise modify the recording for clarity, length, format, production quality, and promotion.

Producer agrees not to intentionally edit the guest’s statements in a way that materially misrepresents their meaning.

5. No Compensation or Royalties

Unless otherwise agreed in writing, the guest is participating voluntarily and will not receive compensation, royalties, residuals, licensing fees, or other payment for the recording or its use.

The guest waives any right to inspect or approve the finished recording, promotional content, distribution methods, or other uses authorized by this Release.

6. Guest Materials and Representations

The guest represents that:

They have the authority to enter into this Release;
Their participation and contributions will not knowingly infringe another person’s copyright, trademark, privacy, publicity, confidentiality, or other legal rights;
They will not knowingly disclose confidential, privileged, defamatory, or unlawfully obtained information; and
They have permission to share any photographs, graphics, recordings, presentations, written materials, or other content they provide to Producer.

The guest is responsible for the accuracy of their own statements, claims, recommendations, and representations.

7. Release and Waiver

To the fullest extent permitted by law, the guest releases and discharges Producer and its hosts, employees, contractors, representatives, licensees, successors, and assigns from claims arising directly from the authorized recording, editing, publication, distribution, promotion, or use of the content.

This release includes claims relating to rights of publicity, rights of privacy, use of name or likeness, and claims for compensation arising from uses expressly authorized by this Release.

Nothing in this Release waives claims that cannot legally be waived or claims arising from Producer’s willful misconduct or uses that materially exceed the permission granted in this Release.

8. No Obligation to Publish

Producer is not obligated to record, publish, distribute, promote, or continue making the recording available. Producer may postpone, cancel, edit, remove, archive, or discontinue the episode or related content at its discretion.

9. Independ

The guest is participating as an independent guest and not as an employee, agent, partner, joint venturer, or contractor of Producer.

This Release does not create an employment relationship, partnership, endorsement agreement, or obligation for either party to enter into any additional business relationship.

10. Electronic Acceptance

By checking the box stating that they have read and agree to the Podcast Guest Release, the guest:

Intentionally provides their electronic signature;
Consents to completing this agreement electronically;
Acknowledges that their electronic acceptance has the same effect as a handwritten signature; and
Confirms that they had an opportunity to review and retain a copy of this Release before agreeing.

Producer may retain an electronic record of the guest’s acceptance, including the guest’s name, email address, date and time of acceptance, and the version of the Release accepted.

11. Governing Law

This Release will be governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any dispute relating to this Release will be brought in a court of competent jurisdiction located in Saint Lucie County, Florida, and the parties consent to that jurisdiction and venue.

12. Entire Agreement

This Release constitutes the entire agreement between the guest and Producer concerning the recording and use of the guest’s appearance. It supersedes previous oral or written discussions concerning the same subject.

Any amendment to this Release must be in writing and agreed to by both parties.

If any provision is found unenforceable, the remaining provisions will continue in effect.

Electronic Acknowledgment

By checking the agreement box associated with this Release, the guest confirms:

“I have read, understood, and voluntarily agreed to this Podcast Guest Release. I authorize the recording and use of my participation as described above, and I intend my electronic acceptance to serve as my signature.”
